1. Agreement
These Terms of Service ("Terms") govern your access to and use of the website at citelayerai.com and the services offered by Austin Richard d/b/a CiteLayer AI ("CiteLayer AI," "we," "us"). By using the site or purchasing a service, you agree to these Terms. If you do not agree, do not use the Services.
2. The Services
CiteLayer AI provides AI visibility (Answer Engine Optimization) services. These may include website audits, citation testing, structural recommendations and implementation, ongoing monitoring, and the Sigbase and AVie products. The specific scope of any paid engagement is defined in the applicable order or service agreement.
3. Independence and no affiliation
CiteLayer AI is an independent service. We are not affiliated with, endorsed by, sponsored by, or partnered with OpenAI (ChatGPT), Google, Anthropic (Claude), Perplexity, or any other AI provider or search platform. All third-party names and marks are the property of their respective owners and are used for identification and descriptive purposes only.
4. No guarantee of results
The Services analyze and improve how information appears to third-party AI systems that we do not own or control. Those systems change their behavior, ranking, and citation logic without notice.
- We do not guarantee any specific citation, mention, ranking, position, placement, traffic, lead, conversion, or revenue outcome in any AI engine, search engine, or platform.
- Any scores, citation-test results, or projections reflect observations at a point in time and are not promises of future results.
- Results vary by business, market, content, and platform behavior.
- Any written guarantee we offer, if any, is limited to its express written terms in the applicable service agreement and to a structural/technical measure — never to a citation, ranking, or financial outcome.
5. Client responsibilities
You are solely responsible for:
- The accuracy, legality, and truthfulness of any information, content, or claims you provide or publish, including any medical, health, pricing, or advertising claims.
- Your own compliance with all laws and regulations applicable to your business and industry, including advertising rules and any professional or licensing-board requirements. CiteLayer AI structures information you provide and does not verify medical efficacy or independently confirm your regulatory compliance.
- Maintaining the rights and permissions necessary for us to perform the Services on your website and content.
6. Acceptable use
You agree not to use the Services to violate any law, infringe any right, transmit harmful code, or attempt to disrupt or gain unauthorized access to our systems.
7. Fees and payment
Fees are stated at the point of purchase and processed through our payment processor. Unless stated otherwise in writing, fees are due in advance and are non-refundable except as required by law or as expressly stated in the applicable order or service agreement.
8. Intellectual property
- Our website, software, methodology, scoring systems (including the CiteLayer Index and Sigbase scoring), reports, and all related materials are owned by CiteLayer AI and protected by law.
- Upon full payment, you receive a license to use the deliverables we produce for your business for your own internal and marketing purposes. We retain ownership of our underlying methodology, tools, and templates.
9. Sigbase scores and informational content
Sigbase scores and any comparative or market data we publish are independent assessments of structural AI-readiness based on a defined methodology. They are statements of opinion about technical AI-readiness, not statements of fact about the quality, competence, or safety of any business.
10. Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CITELAYER AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless CiteLayer AI from claims arising out of your content, your business, your use of the Services, or your violation of these Terms or applicable law.
13. Term and termination
We may suspend or terminate access for violation of these Terms. Sections that by their nature should survive termination (including 4, 8, 10, 11, 12, and 14) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Manatee County, Florida.
15. Changes
We may update these Terms by posting a revised version with a new effective date.
